ABSTRACT
With modern enterprise system, the ownership and management of enterprises separation, the traditional employment system no longer adapt to the development of society, more and more enterprises begin to use cooperative. Equity Incentive cooperation as an effective way for management incentives, incentives in the company plays an important role.As China's capital market yet it is not perfect, various management systems is not very comprehensive, so even though there have been many companies began to use equity incentives, but its effect is not very satisfactory, there are still many issues that require improvement. Firstly, through domestic and international equity incentives and access to the relevant literature and research to understand the research status of incentive stock options, and to identify problems in the equity incentive western countries encountered in the course of development and solutions. This article from the literature as well as some of the company's domestic and international experience and practice situations, analyze the equity incentive in the listed company some problems existing in the process of implementation, and make some reasonable suggestions. Secondly, some of the data will be reflected by the recent equity incentive gradually been widely used, and the two companies Huawei and ZTE, for example, by observing some of its corporate data and charts in the implementation of equity incentive plan, were analyzed and found equity incentive problems in the application of China's listed companies exist. Finally, learn from developed countries through the development process as well as the equity incentive Western experience of listed companies better use of incentive stock options, and propose suggestions to improve equity incentive in the application of China's listed companies.
